1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,”
“Clinician,” “Clinic,” or “Customer”) and Five Laps LLC (“Company,” “we,” “our,” or “us”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of the Service
The Service is a web-based platform that enables clinicians to generate draft clinical narrative text using AI models based solely on manual input provided by the User. The Service:
• Does not store, retain, or archive generated notes.
• Does not store PHI or clinical data.
• Does not replace EMR systems, billing software, or compliance programs.
• Provides text output that requires User verification.
The Service is intended solely as a convenience tool to assist with documentation drafting and is not a clinical, diagnostic, legal, or compliance system.
3. Eligibility and Authorized Use
Use of the Service is limited to clinical professionals, clinical facilities, or authorized administrative staff.
Users represent that:
• They are authorized by their clinic or employer to use the Service.
• They understand these Terms.
• They will use the Service in a manner consistent with applicable laws and regulations.
4. No Medical, Legal, or Billing Advice
The Service does not provide:
• Medical judgment or treatment recommendations.
• Legal, compliance, Medicare, or Medicaid guidance.
• Billing, coding, or reimbursement advice.
All clinical, billing, and compliance decisions remain the sole responsibility of the User and the clinic.
5. User Responsibilities
Users agree to:
• Provide accurate, truthful manual input.
• NOT input PHI, patient identifiers, diagnoses linked to identity, or any protected data.
• Verify the accuracy of all generated text before using it in any documentation.
• Ensure that any text placed into an EMR complies with payer, clinic, and regulatory requirements.
• Maintain confidentiality and security of login credentials.
Users acknowledge that any misuse of the Service is their responsibility alone.
6. Prohibited Conduct
Users shall NOT:
• Enter PHI, patient names, dates of birth, medical record numbers.
• Attempt to store, export, or replicate the Service’s backend processes.
• Use the Service to generate fraudulent documentation or misrepresent clinical care.
• Modify or interfere with the Service’s operations.
• Copy, scrape, or resell the Service without written permission.
7. Data Handling, Privacy, and Security
The Service does not store:
• Clinical notes
• PHI
• Patient identifiers
• User-generated text
• Treatment details
All User input is processed transiently and discarded immediately after output is displayed. The Company retains only minimal authentication data (email + hashed password).
8. Temporary Display of Generated Content
Generated text is displayed briefly on screen for User convenience. It is not saved, backed up, or retrievable once the User leaves the page or refreshes the session. Users are solely responsible for copying the generated text before closing the page.
9. AI Limitations and Required Verification
The User acknowledges:
• AI-generated text may contain errors, omissions, or inaccuracies.
• AI may misinterpret clinician input.
• Output may not satisfy Medicare, Medicaid, or insurer requirements without manual review.
Users agree they must verify every output before using it as part of official documentation.
10. Service Availability, Downtime, and Modifications
The Service may experience interruptions including:
• Scheduled maintenance
• Unexpected outages
• Third-party provider downtime
• Network failures or delays
The Company does not guarantee uninterrupted availability. The Company may modify or discontinue parts of the Service at any time.
11. Fees, Billing, and Subscriptions
Payment terms:
• Fees will be billed regularly through third-party payment processors such as Stripe.
• Failure to pay may result in suspension of access.
• All fees are non-refundable unless stated otherwise.
The Company does not store or process credit card numbers.
12. Intellectual Property
All intellectual property related to the Service—including design, layout, algorithms, prompts,
processes, and content—is owned exclusively by the Company. Users receive a limited,
non-transferable license to use the Service in accordance with these Terms.
13. Limitation of Liability
To the fullest extent permitted by law, Company is not liable for:
• Clinical decisions or documentation errors.
• Loss of reimbursement or claim denials.
• Regulatory or payer audits.
• EMR-related issues caused by copied text.
• Lost profits or indirect damages.
• Any reliance on AI-generated text.
Maximum cumulative liability shall not exceed the fees paid in the three months preceding the claim.
14. Indemnification
Users agree to indemnify and hold harmless the Company from all claims, damages, liabilities, losses, or expenses arising from:
• User misuse of the Service
• PHI entered contrary to these Terms
• Documentation errors or omissions
• Violations of payer or regulatory rules
• Unauthorized account access
15. HIPAA Compliance Statement
The Service does not store PHI and is not intended to receive PHI. Users are prohibited from entering PHI. Any unauthorized PHI entry is a User violation of these Terms and not a responsibility of the Company.
16. Termination
The Company may terminate access immediately for:
• Violations of these Terms
• Non-payment
• Security risks or suspected misuse
Upon termination, User access ceases immediately.
17. Governing Law
These Terms shall be governed by the laws of the state in which the User operates, unless superseded by U.S. federal law.
